Upon AWC’s request, you agree to defend, indemnify, and hold harmless AWC, its officers, directors, employees and agents, and affiliates from and against any and all losses, claims, damages, costs and expenses (including reasonable legal and accounting fees) which AWC or such party may become obligated to pay arising or resulting from your use or misuse of the site material or your breach of these Terms. AWC or such party shall use reasonable efforts to provide notice to you of any such action or claim and reserves the right to assume or participate, at its expense, and to assume control over, the investigation, settlement and defense of any such action or claim, in which event, you agree to cooperate with AWC or such party.
